1. Acceptance of Terms

By accessing or using the Herding Cats application ("the App"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the Terms, you may not access the App.

2. Description of Service

Herding Cats is a task management application designed to help users organize and complete their tasks.

3. User Accounts

3.1. You must create an account to use the App. You are responsible for maintaining the confidentiality of your account and password.

3.2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. User Conduct

You agree not to:

4.1. Use the App for any illegal purpose or in violation of any local, state, national, or international law.

4.2. Interfere with or disrupt the App or servers or networks connected to the App.

4.3. Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

4.4. Use the App to transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

5. Intellectual Property

The App and its original content, features, and functionality are owned by Caro Appleby, trading as Little Black Cat Software, and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Payments and Subscriptions

6.1. Free Trial: Herding Cats offers a free trial that allows you to create and manage up to 50 tasks without charge.

6.2. Subscription: To use the App beyond the 50-task limit, you must subscribe to an annual plan. The current pricing and features of the annual plan are available on our website or within the App.

6.3. Billing: By subscribing to an annual plan, you authorize us to charge your chosen payment method on an annual basis for the subscription fee. Payments are processed securely through Stripe, our third-party payment processor.

6.4. Automatic Renewal: Your subscription will automatically renew at the end of each annual period unless you cancel it before the renewal date. We will send you a reminder email 15 days before your subscription is set to renew.

6.5. Subscription Management: You can manage your subscription, including viewing your subscription status, updating payment information, and cancelling your subscription, directly through the App.

6.6. Cancellation and Refunds: You may cancel your subscription at any time through the App. Upon cancellation, you will be refunded for any remaining unused time on your annual subscription on a pro-rata basis. For example, if you cancel your subscription 6 months into your annual plan, you will be refunded for the remaining 6 months.

6.7. Changes to Pricing: We reserve the right to change our subscription fees at any time. If we do so, we will give you advance notice of these changes. Continued use of the App after such changes shall constitute your consent to such changes.

7. Data Usage and Privacy

7.1. Data Collection: We are committed to collecting only the data that is essential for the functioning of Herding Cats. This includes your email address for account creation and management, and task-related data you input into the App.

7.2. Data Usage: We use the collected data solely for the purpose of providing and improving our services. This includes allowing you to log in, manage your tasks, and sending you account-related communications.

7.3. Data Sharing: We do not share your personal data with third parties, with the exception of Stripe, our payment processor. Stripe receives only the information necessary to process your payments securely.

7.4. Data Security: We implement industry-standard security measures to protect your data from unauthorized access, alteration, disclosure, or destruction.

7.5. Cookies: We use cookies solely for the purpose of keeping you logged into the App. These cookies do not track your activity on other websites.

7.6. Your Rights: You have the right to access, correct, or delete your personal data at any time through the App settings. For complete data removal, you can delete your account within the App.

7.7. Privacy Policy: For more detailed information about our data practices, please refer to our Privacy Policy, which is incorporated by reference into these Terms and Conditions.

8. Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

9. Limitation of Liability

In no event shall Little Black Cat Software, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the App.

10. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on this page and updating the "Last Updated" date.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the UK, without regard to its conflict of law provisions.
